VAST does not determine who gets aVolunteerTMA. Maybe offering a free TMA to volunteers will help to get more help for the club. We should look at this number again. Are there actually any members that are complaining about having to pay the $25.00 fee? Larry Dwyer – In the budget under Administrative, there is an increase of $169,700 over last year’s budget. Trails is $23,000 over last years’budget? Cindy Locke - The majority in administration is in marketing budget. Two years ago we have a $6,000 marketing budget, which is crazy for a $3 million operation. Last year we bumped it up to $16,000, this year we are bumping it up higher because we want to increase our membership. Staff got a very small increase this year; the majority of that is for marketing. For trails, a savings account, we decided to build a savings account and the majority of that will go into trails. So, even though it doesn’t show at the bottom of the general budget in the trails section, trails is actually getting a boost because the majority of the saving account money, as well as any surplus. Lastly, something that Tom brought up earlier. If you have an administration that operates administratively under 20% of your entire budget, that is considered very successful; the fact that ours is under 19% and includes marketing, is very rare. Question: TMAs that will be sold on line, will we be charging a fee to offset the banking fees? Tom Baltrus – The committee is going forward and have allocated IT funds for on line TMAs. We need to work out all these expenses once we get the system set up. We are working on this. Call the question. Mark Reaves moved to approve the 2016 proposed budget as presented; Dennis Lemire seconded, so moved. Annual Auditor’s Report Tom Baltrus referred to the June 22, 2015 letter attached from the CPA firm of Mudgett, Jennett & Krogh-Wisner, PC, from Montpelier, Vermont, regarding the audit of the records of VAST, which we are annually mandated to do. Dennis Lemire moved to accept the 2016 Audit letter, Lewis Barnes seconded, so moved. NOMINATING COMMITTEE Merritt Budd – Rutland County director and chair of the Nominating Committee. The Bylaws state that if there is more than one candidate for an office that the vote must be done by ballot. The two nominees are our current president, Joe Cicia and our current Vice President, Tim Mills. Ken Gammell – I would like to make a nomination to vote for Tim Mills for President of VAST. We need a new president and Tim Mills is very good working with the office and VAST is operating well. Tim knows how to work well with people and to negotiate with people. Merritt Budd - any other nominations for the position of President– asked three times. Final paper ballot vote is 212 for Tim Mills and 18 for Joe Cicia (there were 262 registered voters; 230 voters cast a vote). Merritt Budd announced the nomination of Jeff Fay for Vice President. Dennis Lemire made a motion to cease nominations for the position ofVice President and to cast one vote to nominate Jeff Fay for Vice President, Tom Baltrus seconded the motion, so moved. Milo Day – can I make a motion to re-elect all current officers? Parlimentarian – No, each officer has to be elected individually. Dennis Lemire made a motion to cease nominations for the position of Treasurer and cast one vote to nominate Tom Baltrus for Treasurer; Mark Reaves seconded, so moved. Merritt Budd – are there any nominations for the position of Recording Secretary? Cindy Locke – Cyndy Carrier Jones, a VAST employee, is currently taking the minutes, but a VAST employee cannot be an officer of the VAST Board. Question from the audience - Can the Board appoint someone? Cindy Locke responded that yes, an interim can be appointed by the board but it has to follow the structure of the bylaws. Cindy Locke – the Board has been looking for a Recording Secretary, but haven’t been able to find anyone. Merritt Budd – Any nominations for the position of Recording Secretary – asked three times. Pat Poulin – I would like to nominate Jim Hill for Recording Secretary. Merritt Budd – are there any other nominations for Recording Secretary – asked 3 times. Jim Hill accepts the nomination as Recording Secretary.
