MEETING AGENDA Dennis Lemire moved to approve the meeting agenda; Gordon Holmes seconded; so moved. The approval of last year’s annual meeting minutes was moved by Jim Hill and seconded by Dennis Lemire. Lori Vogel of the Danville S-Ski-Mos noted a correction in the minutes from last year. Ross Page was not the alternate – it was Dave Pastula. Also, Jim Hill noted to add him to Life Members for last year. Dennis Lemire moved to approve the amended meeting minutes from last year; Dick Jewett seconded, so moved. PRESIDENT’S REPORT Dennis Lemire moved to accept the President’s Report; Dick Jewett seconded, so moved. EXECUTIVE DIRECTOR’S REPORT Larry Dwyer moved to accept the Executive Director’s report; Dennis Lemire seconded, so moved. COMMITTEE REPORTS Lewis Barnes moved to accept the Committee Reports; Jeff Fay seconded, so moved. TRAILS ADMINISTRATOR’S REPORT Trails Administrator’s Report - Tom Battey moved to approve the Trail Administrator’s Report; Dennis Lemire seconded, so moved. BYLAWS REVIEW Jeff Fay presented the ByLaws for changes. Jim Hill moved to open the discussion of the bylaw changes; Dennis Lemire seconded; so moved. Disscusion around officer positions on the VAST Board: Stan Choiniere noted that he would like to make an amendment to the bylaws to allow a non-resident to hold a position as a VAST Officer of the Board. In Article 6, Section 1, it states they must be legal resident of the State of Vermont. Jeff Fay noted that we have several people willing and able to hold positions at VAST and currently are not able to because of the bylaws. On Page 52, Article 6 – Section 1 – the wording, “The officers of this association shall be President, Vice President, Recording Secretary, Treasurer and Immediate Past President. The Officers shall be club members in good standing, members of the Association, snowmobile owners and legal residents of the State of Vermont.” He noted to remove “and legal residents of the State of Vermont”, from the wording. Dick Jewett moved to approve this amendment to the bylaws; Lori Vogel seconded, so moved. Discussion – Jim Hill –I don’t believe we can legally make a bylaw change without it legally being warned in advance. This issue was never warned. Audie Bellimer – You can strike words out in a motion. You can legally strike out words in a warning. Dennis Lemire noted it is an amendment to a warned item. Audie Bellimer – If it is in your minutes, to be spoken about today, you can legally strike it out to make an amendment. Jeff Fay – that particular section is not being amended; it is part of the current by laws. Looking deeper into the bylaws, on Page 57, Article 10, Amendments,“Amendments of these Bylaws shall be presented to the Association for action, by the board of Directors, or by petition by an Incorporated County Club, or by petition by clubs representing 10% of the membership in good standing of the Association. Petitions must be presented to the Recording Secretary in writing, and shall be submitted to the membership for action at the next annual meeting. Notice of such petition shall be mailed to each Incorporated County Club at least 30 days prior to the next annual meeting. Only Articles warned shall be acted upon. A majority vote will be required to amend these bylaws.”Jeff Fay – Unfortunately, Stan, can you withdraw your motion to make the change, as we cannot make any changes to the bylaws at this annual meeting. Dick Jewett – do we want to keep it to warn for next meeting? Jeff Fay – We can get this straightened out for next year to change in the bylaws. Dick Jewett – withdraw the motion. Dennis Lemire – We currently don’t have a Secretary for the Board and we need to fill that position. Jeff Fay – we will look at this and get it straightened out for next year. Dick Jewett – what this is all about is that we have an out of state person to take on a position for a club. Is there any way that we can get around this to allow this person to hold the position now? Jeff – No, not according to the bylaws. I do understand that they are landowners but their legal residency is not in VT. Cindy Locke – This circumstances has changed over the years and we have non-residents who are willing to fill positions within VAST. Jeff Fay – Not knowing what the legal ramifications would be, we do have legal representation from all 14 counties. Not having a lawyer handy to ask that question to. Lori Vogel – Can we enter her as an acting secretary until next year? Jeff Fay – I guess if you are an interim and you are still an official officer of the club, and per the bylaws, you have to be a Vermont resident. They can show up and do the work, but they cannot officially hold the position. Ernie Choquette – I would recommend that we wait until next year. Audie Bellimer –We will have to wait until next year. You cannot bring anything on to the floor to be voted on unless it has been legally warned 30 days before the meeting. Disscusion around TMA placement: Bill Munson (?) - Shrewsbury Sno Birds - Page 45 Section (a) every snowmobile operating on the SSTS shall (display) have a valid TMA decal adjacent to a valid registration decal as required by Vermont law. Resident and non-resident TMAs decals shall be available through local VAST affiliated snowmobile clubs or their agents. Why would the wording have changed at the beginning from shall display to shall have? Jeff Fay – because we have passed legislation that allows for a 10 day grace period for an electronic
